Policy Integrating the Empowered Organization Governance Church Constitution
Policy for Article 4 - Membership The Lead Minister, (directly or through the employees to whom the Lead Minister delegates this authority), manages the membership process for the Church Board under Article 4 of the Church Constitution. The Lead Minister makes timely recommendations to the Church Board for the recognition of new members and declarations of inactivity or termination of membership. The Church Board does not act on membership matters until it receives recommendations from the Lead Minister. The Board addresses membership matters, which do not involve the adoption of new or revised policies, on its consent agenda.
Policy for Article 6.1 - President The Lead Minister supervises, directs and administers the business of the Church, as empowered by the Church Board.
The Church Board monitors the performance of the Lead Minister and holds the Lead Minister accountable for supervision, direction, and administration of Church business in accord with the Board’s outcomes policies and staff limitations. The President ensures the Church Board discharges these functions.
The President is the principal elected officer of the Church and presides over the officers of the Church. The President acts as chairperson of the Board and presides at all Board meetings and at all Annual and Special Membership meetings. The President represents the Church on appropriate occasions as determined by the Church Board. Upon the Lead Minister’s request, the President may assist the Lead Minister in discharging any of the functions delegated to the Lead Minister by this policy.
Acting in these various capacities, the President supervises, directs, and presides over the business and officers of the Church.
Policy for Article 6.3 - Secretary The Lead Minister (1) keeps accurate records of all meetings and official proceedings of the Church and of the Board, (2) maintains a roster of all Voting, Associate, Youth, and Inactive Members, (3) gives notice to the Church Board and Church members of, and prepares ballots for, Annual and Special Membership meetings, and (4) keeps a current list of Church policies and procedures, as well as statements of public expression that is available at reasonable times to Church members. The Secretary is responsible for ensuring the Lead Minister discharges the four duties listed in this policy. The Secretary acts through the Church Board in undertaking this responsibility. The Church Board monitors the performance of the Lead Minister and holds the Lead Minister accountable. The Secretary acts as the Board’s corresponding secretary and directly keeps accurate records of any matters in which it would be a conflict of interest for the Lead Minister to do so. Upon the Lead Minister’s request, the Secretary may assist the Lead Minister in discharging any of the functions delegated to the Lead Minister by this policy.
Policy for Article 6.4 - Treasurer The Lead Minister is delegated the Treasurer’s duties under Section 6.4.1 of the Church Constitution, but overall responsibility remains with the Treasurer who acts through the Church Board to discharge that responsibility.[1] The Treasurer is the principal financial and budget officer of the Church.
The Church Board monitors the performance of the Lead Minister and holds the Lead Minister accountable for discharging the financial duties and responsibilities covered by this policy.
The Treasurer is a member of the Church Board. Upon the Lead Minister’s request, the Treasurer may assist the Lead Minister in discharging any of the functions delegated to the Lead Minister by this policy.
Policy for Article 7.1 – Church Board The Board acts as an assembly and exercises the corporate power of the Church through outcomes and staff limitations policies, subject to such limitations as are imposed by law, the Church's Articles of Incorporation and this constitution.
Policy for Article 7.8 - Staff assistance The Church Administrator is the principal executive of the Church, a non-ministerial staff person responsible to the Board through the Lead Minister and supervised by the President through the Lead Minister.
Policy for Article 8 - Ministers The Lead Minister manages church affairs and administers church policy subject to Board adopted outcomes and staff limitations policies. The Ministers shall consult with and advise the Board on management of church affairs and administration of church policy.
Policy for Article 9 – Church Council The Church Council shall be known as the Ministry Team Council, and it shall discharge the duties and functions of the Church Council under Article 9.
The Church Council Chairperson or a designated alternate shall be a liaison representative to the Board through the Lead Minister, and shall make monthly reports to the Board through the Lead Minister.
Policy for Article 10 – Church Affiliated Organizations The Board shall establish policies and procedures through the Lead Minister for each Church Affiliated Organization to follow in order to obtain recognition and maintain its status with the Church.
Policy for Article 11 – Standing and Special Committees The Board delegates its authority to establish policies and procedures for Standing Committees and Special Committees to the Ministry Team Council. Expenditures above amounts appropriated in the budget must have prior approval of the Board if not in accord with Board adopted staff limitations policies relating to finance.
Policy for Article 12 - Ombuds Committee The function of the Ombuds Committee does not include receiving, acting upon, or administering grievances involving paid or volunteer staff because a process for handling such grievances is available under the church’s personnel manual.
------------------------------------------------------------------------------ [1] These duties are: 6.4.1.1. deposit, loan or invest, or cause to be deposited, loaned or invested, all money and other valuables in the name of the Church with such institution(s) as the Board may designate;
6.4.1.2. handle disbursements of Church funds as directed by the Board and provide monthly statements to the Board of these transactions;
6.4.1.3. keep accounts of the Church in books which are and shall remain the property of the Church, and shall make these books available at reasonable times to Voting, Associate and Youth Members of the Church;
6.4.1.4. present a preliminary financial report of the current fiscal year at the Annual Membership Meeting;
6.4.1.5. prepare final financial statements after each fiscal year, and arrange for the audit or review of these statements;
6.4.1.6. distribute the audit or review prior to the Annual Membership Meeting where it is to be presented for acceptance or rejection;
6.4.1.7. prepare and present the annual budget for the ensuing fiscal year at the Annual Membership Meeting;
6.4.1.8. furnish statements of pledge status to all pledgors;
6.4.1.9. obtain and review annual financial statements of Church Affiliated Organizations for the Annual Membership Meeting; and
6.4.1.10. prepare all tax forms and tax exemption statements and submit them to proper government agencies in a timely manner.
